Terms and Conditions

Version 2.0 · Effective 10 September 2026

These terms are a contract with Care Hero Pte. Ltd. (UEN 202500589Z), 20 Cecil Street, #22-00, Singapore 049705 (Care Hero, we, us). Care Hero owns and operates the Agent Hero platform (the Platform).

You accept them when you first sign in. Where you subscribe on behalf of an organisation, you accept them again at checkout, and they bind that organisation.

1. Who these terms bind

1.1 You, as a user. These terms apply to everyone who signs in to the Platform, however they got access.

1.2 Your Organisation, where you subscribe for it. An Organisation is a workspace on the Platform. When someone ticks the box on the billing page and starts or changes a paid plan, they accept these terms for that Organisation as well as for themselves, and that person confirms they are authorised to commit the Organisation. From that moment these terms bind the Organisation, and references to "the Organisation" mean the company or firm that owns the workspace.

1.3 Two ways an Organisation gets the Platform.

  • In the app. The Organisation subscribes on the billing page. These terms, together with the plan selected at checkout — the number of Seats, the plan and billing period, and any AI usage credit — are the whole contract between us. There is no separate signed agreement, and none is needed.
  • Under a signed agreement. Some organisations sign a written agreement with us, or with another company that provides the Platform to them (a Provider). Where one exists, it governs commercial matters — fees, seats, term, support, and anything else it covers — and these terms govern how the Platform operates, its security, and what use is acceptable. If the two conflict on a commercial matter, the signed agreement wins; on operation, security or acceptable use, these terms win.

1.4 Providers. Where an Organisation gets the Platform through a Provider, that Provider handles its commercial relationship and its own support. We still operate the Platform, and these terms still apply directly between us and every user and Organisation on it.

2. Your account and your Seat

2.1 Organisations and user accounts are created by Care Hero. Nobody else can create them.

2.2 Your account occupies a Seat paid for by your Organisation. A Seat belongs to one person. Do not share your login, your password, or your access with anyone, including colleagues.

2.3 Keep your credentials secure and tell us or your Organisation's administrator immediately if you think someone else has used your account. You are responsible for what happens under your login.

2.4 Your Seat may be reassigned when you leave your Organisation or change role. Your access can be removed by your Organisation's administrator or by us at any time.

2.5 You must be at least 18 and using the Platform for work.

3. How Organisations work

3.1 Each Organisation has an Org Admin, who manages users, settings and AI usage allocation, and Org Members. An Organisation may also invite people from outside it, such as its own clients; every invited person occupies a Seat.

3.2 Understand this clearly: the Organisation controls its workspace, not you. Your Org Admin can view, change, export and delete anything in the Organisation, including content you create, and can add or remove users. Anything you put into the Organisation belongs to the Organisation, not to you personally, even if you created it.

3.3 If you are invited into someone else's Organisation, that Organisation controls that workspace and can see what you do there. Your relationship with that Organisation, including anything it charges you, is between you and them. We are not involved in it.

4. Acceptable use

4.1 Use the Platform lawfully, for legitimate business purposes, and in line with your Organisation's own policies.

4.2 You must not:

  • share your Seat, credentials, or access with anyone else;
  • try to read, copy, or extract the Platform's source code, models, prompts, system instructions, or underlying components, or reverse engineer any part of it;
  • use the Platform, or anything you learn from it, to build or train a competing product or service;
  • resell the Platform, or offer access to it as a service of your own;
  • upload or generate anything unlawful, or anything that infringes another person's rights;
  • upload or generate material that is harassing, abusive, defamatory, deceptive, or designed to impersonate a real person or organisation;
  • use the Platform to produce content that facilitates violence, weapons, serious harm, fraud, malware, or unauthorised access to any system;
  • attempt to identify individuals from data that has been de-identified;
  • probe, scan, overload, or disrupt the Platform or its infrastructure, or get around usage limits, access controls, or security measures;
  • use automated means to extract data from the Platform at scale, beyond the features we provide; or
  • submit data you do not have the right to submit, or that you are contractually or legally barred from disclosing.

4.3 Take care with sensitive data. Only put personal data, health information, financial records, or confidential material into the Platform where your Organisation permits it, you are entitled to, and it suits the purpose you are using it for.

4.4 We may update these acceptable use rules from time to time. The current version is always the one published in the Platform.

5. AI features, output, and agents

5.1 The Platform uses generative AI. Its agents and skills produce output probabilistically, based on the data and instructions given to them.

5.2 Output may be wrong. It may be inaccurate, incomplete, out of date, biased, or unsuitable for what you want to use it for, and it may look confident while being wrong.

5.3 You are responsible for reviewing output before you rely on it, act on it, send it to anyone, or make a decision using it. Treat it as a draft from an assistant, not an answer from an authority.

5.4 The Platform is not professional advice and is not a medical, legal, financial, or other regulated advisory service. Do not use it as a substitute for a qualified professional, and do not present its output as professional advice to anyone else.

5.5 Agents act. Agents read files, call tools, use integrations, and make changes. You and your Organisation are responsible for what the agents you configure and run do, including anything they do to systems, accounts and data outside the Platform. Configure their permissions and their reach accordingly.

6. Plans, Seats and payment

This section applies to the Organisation. Where a signed agreement covers a matter in this section, that agreement applies instead.

6.1 What you selected is the commercial deal. The plan chosen at checkout — the number of Seats, the plan and billing period, the rate shown, and any AI usage credit — together with these terms, is the contract. The rate shown at checkout is the rate charged.

6.2 Subscription term and renewal. A monthly subscription runs for thirty (30) days. An annual subscription, where offered, runs for twelve (12) months. Each renews automatically for successive terms of the same length, at the rates then applicable, until cancelled.

6.3 Cancellation. The Organisation may cancel at any time before the end of the current term, in the Platform or by writing to us. Access continues to the end of the term already paid for, and the fee for that term is not refunded. For an annual subscription, notice given in the last thirty (30) days of the term takes effect at the end of the following term. Removing every Seat is not by itself a cancellation.

6.4 Seats. A Seat is a named user login. Seats added during a term are charged pro-rata from activation. Seats removed reduce the charge from the next billing cycle; the current term is not refunded.

6.5 Payment. Fees are charged automatically to the payment method on file at the start of each billing cycle. The Organisation keeps a valid payment method on file for as long as it uses the Platform.

6.6 Failed payment. If a charge fails we will retry. If it is still unpaid after seven (7) days we may suspend the Organisation's access on seven (7) days' notice, and keep it suspended until payment is made. We do not charge interest on subscription fees or AI usage.

6.7 Refunds. Fees are not refunded except where these terms say so or the law requires it. Cancelling mid-term does not produce a refund for that term.

6.8 Rate changes. We may change our rates. A change takes effect at the Organisation's next renewal, and we will give notice in the Platform or by email before it does. If the Organisation does not want the new rate, it can cancel under 6.3 before the renewal.

6.9 Taxes. Rates exclude GST and other taxes, which the Organisation pays in addition where they apply.

6.10 Larger and negotiated plans. Enterprise plans — a fixed number of Seats for a fixed term, invoiced rather than charged in the app, with a minimum of fifty-one (51) Seats — are not available in the app and are arranged under a separate written agreement.

7. AI usage and credits

7.1 AI processing is charged separately from the subscription and is never included in it. It is borne by the Organisation whose workspace incurs it.

7.2 AI usage is funded by prepaid top-ups bought in the Platform, drawn down as usage is incurred at the rates in force at the time of use. Rates are the prevailing rates of the AI model providers, together with any discount or adjustment published in the app.

7.3 Free credit. Where we include AI usage credit at no charge, for example during a trial, it is drawn down before any paid top-up. It is not refundable, not exchangeable for cash, and any unused part expires at the end of the trial.

7.4 Paid top-ups. A paid balance is not exchangeable for cash and does not expire while the subscription runs. On termination we refund any unused balance less amounts owing, except where we terminate for the Organisation's material breach.

7.5 Running out. When the balance reaches zero and automatic top-up is off or fails, AI features pause until the Organisation tops up. Everything else keeps working. We are not responsible for work interrupted this way, so save as you go.

8. Your content and data

8.1 Ownership. Everything submitted to an Organisation's workspace, and the output generated from it, is the Organisation's (Customer Data). Neither we nor our licensors claim any ownership of it.

8.2 No training on your content. We do not use Customer Data to train, fine-tune, or otherwise develop or improve any AI model — not ours, not anyone else's — and we do not permit anyone acting on our behalf to do so. Customer Data is not pooled across Organisations for any such purpose. This applies to every plan, including trials.

8.3 Personal data. Where Customer Data includes personal data, the Organisation is responsible for it under the Personal Data Protection Act 2012 (PDPA), and we and those processing on our behalf act as data intermediaries. We keep reasonable security arrangements, notify the Organisation without undue delay of any data breach affecting its workspace, and delete or return Customer Data at the end of the term under 12.4. The Organisation confirms it has the consents and authority needed. Separately, we hold account and usage data about users — names, work email addresses, login and device records, activity logs and billing records — for which we are the organisation responsible under the PDPA; the Privacy Policy explains what we do with it.

8.4 Sub-processors. The Organisation authorises our use of third-party sub-processors, including our infrastructure operator, cloud hosting, and AI model providers. Some operate outside Singapore, and any transfer is made in compliance with the PDPA. The current list is in the Privacy Policy.

8.5 Third-party AI models and gateways. The Platform makes a number of AI models available, reached through one or more third-party AI gateways and model providers, which we may add to, change, or replace. Current examples include Vercel AI Gateway, OpenAI, and Anthropic (Claude).

8.6 Those providers' policies are theirs, and we are not responsible for them. Whether a gateway or model provider retains prompts and outputs, for how long, whether any zero-data-retention (ZDR) arrangement applies, and whether it may train on them, is governed entirely by that provider's own policies and terms. Those differ between providers and models and may change at any time without reference to us. So: (a) it is the Organisation's responsibility to read and keep up with each provider's ZDR, retention and training policies, and to decide which models suit the sensitivity of its data; (b) we give no warranty that any such arrangement will be available, enabled or maintained; and (c) we are not responsible or liable for those policies, for changes to them, or for a provider acting inconsistently with them. Where ZDR is available and enabled for an Organisation we route requests through it, but that is us routing a request, not us guaranteeing the provider's conduct. None of this reduces our own commitment in 8.2.

8.7 Security, location and certification. We maintain reasonable technical and organisational security arrangements, including encryption in transit, multi-factor authentication on administrative access, per-Organisation isolation, logging, and independent penetration testing. The Platform's production database and uploaded-file storage are hosted in Singapore; supporting services for application delivery, authentication, error monitoring and AI inference operate outside Singapore. Care Hero Pte. Ltd. holds CSA Cybersecurity Certification — Cyber Essentials (2025) for HIMS Vendors (certificate CEM-2026-252, issued by ISOCert Pte Ltd, valid 26 August 2026 to 25 August 2028) for the production and development environment of its SaaS service.

8.8 Export. Users may export individual documents, files and outputs at any time through the Platform. On the Organisation's written request we will provide a bulk export of its Customer Data in a common machine-readable format within thirty (30) days; one bulk export per twelve (12) months is included and further requests are charged separately.

8.9 Deletion on request, and proof of it. An Organisation may instruct us in writing to permanently delete identified Customer Data, or all of it. We action it within thirty (30) days: the data is deleted from the live service, and any copy surviving in routine backups expires within three (3) months of that deletion, after which no copy remains. Backups are not accessed in the meantime except to restore the service. On completion we give written confirmation of deletion identifying what was deleted, when, and by what method, in a form the Organisation can give to its own clients or a regulator. We may retain what the law requires, and will say so and identify it if that applies.

9. Our intellectual property

9.1 All rights in the Platform — its software, models, prompts, workflows, skills templates, interfaces and documentation, and every improvement to them, whether or not suggested by you — belong to Care Hero and its licensors. Signing in gives permission to use the Platform while the Seat lasts, and nothing more. No source code, object code, or on-premise copy is provided under any circumstances.

9.2 Agents and skills built for an Organisation's own use belong to that Organisation, which grants us the licence we need to host and run them.

9.3 Feedback and suggestions may be used by us and our licensors freely, without restriction, attribution or payment.

10. Integrations and third-party services

10.1 The Platform runs on third-party infrastructure and AI models and connects to third-party applications. We are not responsible for those services — their availability, performance, changes, or what they do with data routed to them.

10.2 Connecting an integration authorises the Platform to access that account on your behalf, and your use of that service is governed by its own terms. Only connect accounts you are entitled to connect.

11. Availability and changes

11.1 We work to keep the Platform running but do not promise it will be uninterrupted or error-free. It may be unavailable for maintenance or for reasons outside our control. No uptime or service-level commitment applies unless a signed agreement says otherwise.

11.2 The Platform keeps developing. We regularly add features, models, integrations and capacity, and improvements of that kind are included in what the Organisation already pays. We may also decide, at our discretion, to offer a capability as a separate tier or a priced add-on and to set its price; those are optional, and charged only if taken up.

11.3 We may change these terms. If a change materially affects you we will give reasonable notice in the Platform. Continuing to use the Platform after a change means you accept the updated terms.

12. Suspension and termination

12.1 We may suspend or end access immediately where these terms are breached, where use threatens the Platform's security or integrity, or where the law requires it. Where we reasonably can, we will say why.

12.2 We may suspend an Organisation for non-payment under 6.6.

12.3 Either we or the Organisation may terminate on written notice if the other materially breaches these terms and does not remedy within thirty (30) days, or becomes insolvent.

12.4 On termination, access ends and fees accrued to that date are payable. Customer Data is available for export for thirty (30) days and is then deleted, subject to routine backups. Unused paid AI top-up balance is refunded under 7.4. Sections 8, 9, 12.4, 13 and 14 survive.

12.5 Your individual access also ends when your Organisation's subscription or agreement ends, when your Organisation removes you, or when your Seat is reassigned. Getting a copy of anything, or having anything deleted, is a matter for your Organisation under 8.8 and 8.9.

13. Privacy

13.1 How we handle personal data is set out in the Care Hero Privacy Policy, published at agentheroai.com/privacy-policy, which forms part of these terms.

13.2 Where content in an Organisation's workspace includes personal data, the Organisation decides what happens to it and is responsible for it. We handle it on the Organisation's instructions.

14. Liability

14.1 The Platform is provided "as is". To the fullest extent the law allows we exclude all warranties not expressly given here, including fitness for a particular purpose, uninterrupted operation, and the accuracy of AI output.

14.2 The Organisation's cap. Our total liability to an Organisation in any twelve (12) month period is limited to the fees it paid us in that period, excluding AI usage. We are not liable for indirect or consequential loss, or loss of profit, revenue, data or goodwill.

14.3 To you personally. Your Organisation, not you, pays for the Platform, and the Organisation holds the rights under these terms in respect of the service. Accordingly, and to the fullest extent the law allows, we have no liability to you personally. Raise any issue through your Organisation, which may bring it to us under 14.2.

14.4 What is never capped. Nothing here excludes liability that cannot be excluded by law, including for death or personal injury caused by negligence, or for fraud.

14.5 Your responsibility to us. You and your Organisation are responsible to us for loss we suffer from a breach of section 4 (acceptable use), section 5.5 (agents), or section 9 (our intellectual property), and the Organisation indemnifies us against third-party claims arising from its Customer Data or from use of the Platform in breach of these terms.

15. General

15.1 These terms are governed by the laws of Singapore, and the courts of Singapore have exclusive jurisdiction.

15.2 Neither party may assign these terms without the other's consent, except to an affiliate or a successor to its business on notice.

15.3 Neither party is liable for failure to perform, other than to pay, caused by events beyond its reasonable control.

15.4 If any part of these terms is unenforceable, the rest still applies. Not enforcing something straight away does not give up the right to enforce it later.

15.5 These terms, together with the Privacy Policy, the acceptable use rules published in the Platform, and the plan selected at checkout, are the whole agreement about use of the Platform — except where an Organisation has a signed agreement, in which case 1.3 applies.
